1. Acceptance & Legal Agreement
These website terms and conditions of use for Mosaic Finance constitute a legal agreement between users and Mosaic Finance. By accessing or using our services, including Archivist CLI and Tracer KG platform, you agree to be bound by these Terms. If you do not agree to these terms, do not use our services.
2. Age & Eligibility
By using our services, you confirm that you are of legal age to form binding contracts and meet all eligibility requirements to use the platform. You must be at least 18 years old to create an account.
3. Modifications
Mosaic Finance reserves the right to revise these terms at any time. We will provide notice of material changes by posting the updated terms on our website. Your continued use of the services after changes constitutes acceptance of the new terms.
4. Information Use Restrictions
Content and data provided through our services is for general informational purposes only and cannot be relied upon for trading or investment decisions. Mosaic Finance does not provide investment advice, tax advice, legal advice, or make recommendations to buy or sell any securities. The information on this website is not reliable and not intended to provide tax, legal, or investment advice. Nothing contained on the website shall be considered a recommendation, solicitation, or offer to buy or sell a security to any person in any jurisdiction.
5. High-Risk Securities Warning
Our services provide access to filings for companies including small-cap securities which can be high-risk and may lose their entire value. Only risk what you can afford to lose. Always conduct your own due diligence and consult with qualified financial professionals before making investment decisions.
6. Account Security
Users must maintain confidentiality of login credentials and API keys, prevent unauthorized access, and report security breaches immediately to support@mosaic-finance.com. Mosaic Finance is not responsible for losses resulting from circumvented security measures or compromised credentials.
7. Subscription and Payments
Billing: Subscription fees are billed in advance on a monthly basis. All fees are in US Dollars (USD) and are non-refundable except as required by law. Cancellation: You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. You will retain access until then. Price Changes: We may change subscription prices with 30 days' notice. Continued use after the price change constitutes acceptance of the new price.
8. API Usage
Your use of our API is subject to rate limits and usage quotas based on your subscription plan. You are responsible for securing your API keys and must not share them publicly. We reserve the right to suspend or terminate API access for abuse or violation of these terms.
9. Intellectual Property
All website content, design, software, and materials are Mosaic Finance's property or licensed to us. Users cannot reproduce, modify, or distribute content without permission. Filing data provided through our services is sourced from public regulatory sources (SEC, SEDAR). We do not claim ownership of the underlying filing content.
10. Prohibited Conduct
You agree not to: use the services for any unlawful purpose; attempt to gain unauthorized access to our systems; interfere with or disrupt the services; resell or redistribute the services without authorization; use automated tools to scrape or overload the API beyond your plan limits; impersonate others or provide false information; violate any applicable laws or regulations.
11. No Professional Advice
Content provided through our services does not constitute professional guidance. Users should seek independent expert advice from qualified financial, legal, and tax professionals before making decisions based on information obtained through our services.

13. Warranty Disclaimer
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. MOSAIC FINANCE DISCLAIMS RESPONSIBILITY FOR ACCURACY, SECURITY, VIRUSES, OR UNINTERRUPTED ACCESS. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR COMPLETELY SECURE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOSAIC FINANCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES, REGARDLESS OF WHETHER WE HAVE BEEN NOTIFIED OF THE POSSIBILITY OF SUCH DAMAGES. Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
15. Indemnification
You agree to defend, indemnify, and hold harmless Mosaic Finance from any claims, damages, losses, or expenses arising from your use of the services or violation of these Terms.
16. Termination
We may suspend or terminate your access to the services at any time for violation of these Terms or for any other reason at our discretion, without notice. Upon termination, your right to use the services will immediately cease.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and applicable Canadian federal law, without regard to conflict of law provisions. Any disputes shall fall under Ontario courts' jurisdiction.
